Subscription Terms

1.SUBSCRIPTION DETAILS FOR X-ANALYTICS ENTERPRISE SUBSCRIPTION

PAYMENT: You will be charged the subscription fee you reviewed and agreed to during the purchase process, payable upfront via credit card. This amount does not include applicable sales tax, VAT, or other duties, which will be added at checkout if required by law.

TERM: Your subscription begins on the Effective Date (i.e., the date of purchase) and continues for a committed 12-month term, regardless of whether you choose to pay monthly or annually upfront.

RENEWAL: At the end of your 12-month term, your subscription will automatically renew for an additional 12-month period unless you provide written notice of cancellationto [email protected] at least thirty (30) days prior to the renewal date. If no notice is provided, the subscription will continue for another 12 months under the same payment terms.

2. SERVICESPROVIDED

We will provide you with access to X-Analytics, our cloud-based cyber risk management application, as an ongoing subscription service. You agree to use the Service in accordance with this Agreement.

3. PAYMENTTERMS

BILLING: The subscription fee is charged in advance via credit card at the time of purchase. If additional taxes or duties apply, they will be included in your total at checkout.

LATE PAYMENTS: If any payment issues arise (e.g., declined card), you’ll have 30 days to resolve them. Unresolved balances may incur a 2%monthly late fee.

REFUNDS: Payments are non-refundable except as required bylaw or if we terminate the Service without cause (see Section 8).

4.CONFIDENTIALITY

We’ll keep your confidential information (e.g., business data shared with us for the Service) private and secure, using it only to provide the Service or as required by law. This obligation continues even after the Agreement ends. You agree not to share our confidential information either.

5.INTELLECTUAL PROPERTY

We own all rights to the Service and its underlying technology ("Intellectual Property"). By purchasing, you get anon-exclusive, limited license to use the Service during your subscription term. You can’t copy, modify, or distribute it.

6. DATASECURITY

We collect only the information needed to deliver the Service (e.g., cybersecurity risk data). We don’t store sensitive event or vulnerability data that could harm your business if exposed. We protect your data with reasonable safeguards and retain it only as long as necessary for this Agreement.

7. WARRANTYAND LIABILITY

- AS-IS SERVICE: The Service is provided "as is. "We don’t guarantee it’s error-free, fits your specific needs, or ensures

compliance with any regulations. You use it at your own risk.

- LIABILITY CAP: Our maximum liability for any issue with the Service is limited to the amount you paid us for the subscription term in question. This doesn’t affect your payment obligations.

- NO INDIRECT DAMAGES: We’re not liable for indirect damages(e.g., lost profits) arising from your use of the Service.

8.TERMINATION

- YOUR RIGHTS: You can’t cancel mid-term unless required bylaw.

- OUR RIGHTS: We can suspend or terminate your access if you violate this Agreement or fail to pay, with notice where feasible. If we terminate without cause, we’ll refund a prorated portion of your fee.

- EFFECT: Upon termination, your access ends, but confidentiality and liability terms survive.

9. DISPUTERESOLUTION

- ARBITRATION: Any disputes will be resolved through binding arbitration with the American Arbitration Association under its Commercial Arbitration Rules, in English, in Clark County, Nevada, governed by Delaware law. Each party pays its own costs.

- EXCEPTIONS: We can seek court-ordered relief for misuse of our Intellectual Property or confidential information.

10.MISCELLANEOUS

- GOVERNING LAW: Delaware law applies, ignoring its conflict-of-law rules.

- CHANGES: We may update this Agreement by posting a new version online. Continued use after changes means you accept them.

- ASSIGNMENT: We can assign this Agreement without your consent (e.g., in a company sale). You can’t assign it without our written approval.

- ENTIRE AGREEMENT: This is the full agreement between us about the Service.

11.ACCEPTANCE

By clicking "Purchase Now" or completing your payment, you confirm:

- You’re authorized to enter this Agreement for yourself or your organization.

- You’ve reviewed the subscription fee and term during the purchase process and agree to these terms.
